Technology M&A Consultant/Senior Consultant, EY Parthenon, Strategy and Transactions

We help CEOs and business leaders design and deliver transformative strategies across the entire enterprise, to help build long-term value to all stakeholders. Due to rapid expansion, we are now looking for candidates to join our Warsaw team and we want you to explore our Technology M&A Consultant/Senior Consultant Role. EY-Parthenon’s Transaction Strategy and Execution (TSE) team is the leading Strategy and Transactions business in the EMEA region. As part of the TSE Transaction Technology team, you will advise and support clients through the deal lifecycle, providing a range of sell-side and buy-side IT advice to clients. Services range from complex IT due diligence, post-merger IT integration, IT carve out/separation and post deal value enhancement through IT levers.


The opportunity

For our fast growing Team, we are looking for a candidate to join the Strategy & Transactions Technology Team, focused on providing full support for transaction services dedicated to our clients, who are the biggest and most impactful companies across the globe. We are seeking to further expand our team with IT consultants who work across a range of sectors that include Private Equity, Digital and Telecoms. You’ll advise clients across all sectors, supporting key decision makers in developing and executing strategies for transactions use your intellectual guile and enthusiasm to apply your technical skills across the M&A transaction lifecycle; including pre-deal diligence, portfolio review and corporate carve-outs & integrations.


Your key responsibilities

  • Manage and execute IT related M&A projects – end-to-end from Due Diligence over Day 1 preparation to Carve-out / Post Merger Integration for technology part of transaction
  • Participate in setting engagement objectives and scope of work
  • Assess IT environment of Target business by technology due diligence
  • Estimate the quality and performance of Target IT environment, including cybersecurity
  • Analyze IT costs, including cost synergies that may arise from the transaction / merger
  • Identify gaps and risk associated with IT enablement, IT maturity and IT technical debt
  • Provide recommendations on how to mitigate the risks in the IT M&A context
  • Assess technology architecture from data, infrastructure and integration standpoint to provide comments on reliability and scalability of IT environment
  • Develop key diligence deliverables, including: data request lists, interview guides, high-level roadmaps, one time and recurring cost analysis models, benchmark analysis, synergy analysis, contract analysis, IT-related transition service agreement schedules (TSA)
  • Assist with planning and delivery of technology separation of divested businesses (carve-out’s)
  • Plan and execute post-merger technology integration projects (PMI)
  • Participate in business development

Skills and attributes for success

  • Understanding of budgeting process and IT financials
  • Experience in structured frameworks and methodologies with practical implementation (i.e. ITIL, TOGAF, COBIT, PMP, Agile/Scrum, CISSP) – gained certificates as a plus
  • Deep knowledge or expertise in at least one technology area and familiarity with other:
    • IT Infrastructure (DC’s, network) and Cloud Migration,
    • Business Applications and ERP,
    • IT Operating Model,
    • IT Architecture,
    • Enterprise Architecture,
    • Data Management,
    • IT Operations,
    • Cybersecurity and Data Protection (such as: regulations EU GDPR, frameworks: OWASP, PCI, ISO27001, NIST and SANS Critical controls)
    • Software Development (incl. code review)
  • Fluency in Polish and English.

Your background:

  • IT-related experience or IT consulting experience
    For Consultant: at least 2-3 years of
    For Senior Consultant: at least 3-5 years
  • University degree in the field of IT from top university. Additional degree in business/finance related specialization will be a big plus
  • Outstanding interpersonal skills and consulting attitude - can demonstrate the skills and experience required to operate in a client-facing role within a professional services firm
  • Strong oral and written communication skills, including presentation skills (MS PowerPoint, Excel analysis and modeling), 
  • Ability to perform analysis and synthesize data into useful insights
  • Excellent written and verbal command of English (min. C1)
  • Willingness of travel in approx. 20-30% of time, depends on a project nature (current travels are suspended due to the COVID-19 situation)

Ideally, you’ll also have:

  • Experience in international environment
  • Ability to produce high quality reports and papers
  • Professional experience in Merger & Acquisition transaction’s, on any stage of the lifecycle: IT Due Diligence, Day 1 planning, Post-merger IT Integration, IT Carve-out,
    • For Consultant: min. 1 year
    • For Senior Consultant: min. 2-3 years of
